1. The composition of the board means who makes up the board. There is a chairman of the board, treasurer, and secretary. Additionally, there will be other members that have various skills to meet the needs of the organization (Thompson, 2018).

2. The board of directors approves all the decisions that affect the long-term of the organization and the shareholders agree with the board of directors. In other words, corporate governance is the relation ship between the board of directors, upper management, and the shareholders in determining the focus and direction of the corporation (Wheelan et al, 2020).
