Questions
Indigo GmBh (“ Ïndigo”), a German bicycle manufacturer, has agreed to supply bicycles to Parto SA (“ Parto “), a Portuguese wholesaler, for resale. The agreement between them provides that Indigo will supply its bicycles only to Parto in Portugal and that Parto, for a period of three years from the date of the agreement, will not sell goods which compete with the contract/agreement goods. Indigo has a 24% share of the bicycle market in the EU and Parto only has about has a 5% share. Both companies sell to different parties all over Europe. Parto SA wishes to know whether this agreement is in line with EU Law.
Furthermore, assume that Indigo has been trying to sell its goods in Greece, but the Greek government is not allowing any entry.
Finally, Indigo would also like to open a subsidiary company in Spain and would like some of its employees in Germany to work in Spain. In addition, Indigo has a subsidiary in the United Kingdom and is concerned since the United Kingdom has now left the European Union.
You are tasked to:
1) Advise whether the agreement between Indigo and Parto constitute anti-competitive behaviour? In your advice, please refer to relevant case law as well as legal provisions to support your advice.
2) Is the conduct of the Greek government allowed under EU? In your answer please be sure to reference any relevant practical examples and legislation.
3) Advise what enables Indigo to move its employees within the EU and which EU institution should be called upon should an infringement of EU law occur?
4) Present advice as to the developments of the Brexit talks between the United Kingdom and the European Union and how this affects Indigo’s business? In your answer, you should also elaborate on the process for leaving the European Union.
5) Indigo’s top management would like to classify and group various employees according to their religious backgrounds and ethnicities and feels this could be a good way to compare efficiency across different teams. Advise top management which EU laws need to be considered and whether this classification is advisable to carry out. In your answer, please provide the relevant articles.
6) Present to Indigo’s board three ways in which you believe they could comply with EU Consumer Law provisions as far as their goods are concerned. In your answer, please provide practical examples and why you beliecixve these provisions are relevant.
